Indemnification. It is the inspector's duty to know the terms of the MWC warranty. Inspector is not authorized to interpret the warranty or to make representations to inspector's client on behalf of MWC about the warranty. In the event of any legal action against MWC arising or allegedly arising out of inspector's representations to inspector's client, or from inspector's concealment of facts from inspector's client, if MWC is found liable, inspector agrees to fully indemnify MWC for all expenses incurred by MWC in such action including, but not limited to, damages paid by MWC and costs and attorney's fees. Similarly, in the event of any legal action against MWC arising or allegedly arising out of any acts or omissions of the inspector, if MWC is found liable, inspector agrees to fully indemnify MWC for all expenses incurred by MWC in such action including, but not limited to, damages paid by MWC and costs and attorney's fees.
I am wondering why I would want a warranty company that is going to shift all expenses to me??????????????????? |

I understand that concealing things is bad and I would never do this but I want more information about all this before I commit to something like this. I would like to have my attorney go over all pertinent documents.

If you read this contract language carefully, the inspector is ONLY required to reimburse MWC if the following 3 things take place:
1. Someone files a lawsuit against MWC; 2. The basis for the lawsuit is some alleged wrongdoing on the part of the inspector, e.g., the the inspector makes false representations to the client about the warranty, conceals facts from his client, or does any other negligent act or omission that is attributed to MWC; AND 3. The lawsuit against MWC is successful. MWC expects to pay all valid claims under the terms of the warranty, but with thousands of inspectors out there, we need to make clear that those inspectors can't make any representations to their customers about the warranty, other than what is in the warranty document itself. Otherise, you have thousands of potential lawsuits out there every time an inspector makes an oral representation to the homeowner. If the basis of the customer's lawsuit against MWC does not involve some wrongful or negligent act by the inspector, then this provision by its own terms does not apply.
